Terms of Service

1. Acceptance of Terms

By accessing or using the Alternivite platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Alternivite, Inc. ("Alternivite," "we," "us," or "our").

By accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not have such authority, you must not accept these Terms on behalf of that organization.

2. Description of Service

Alternivite is an AI-powered compliance platform that helps businesses analyze, manage, and automate compliance with regulatory frameworks. Our platform provides compliance analysis, gap identification, remediation recommendations, policy generation, monitoring, and audit preparation tools.

We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials.

Each individual account is limited to one user. Team accounts with multiple users are available on paid plans. You may not share your account credentials with any third party or allow multiple individuals to access the Service through a single individual account.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. You agree not to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose or in violation of any applicable local, state, national, or international law or regulation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying models of the Service or any part thereof.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, its networks, or any accounts, computer systems, or networks connected to the Service.
  • Upload or transmit any malicious code, viruses, worms, Trojan horses, or other harmful or disruptive material through or to the Service.
  • Use automated systems, including bots, scrapers, or spiders, to access or interact with the Service, except for standard search engine or browser use.
  • Circumvent or attempt to circumvent any usage limits, rate limits, or security features of the Service.
  • Use the Service to develop a competing product or service.
  • Use the Service to send unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating your account and reporting you to law enforcement authorities.

5. Intellectual Property

The Service, including all software, code, text, graphics, trademarks, service marks, and any proprietary information, is owned by Alternivite and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain all ownership rights in your compliance documents, uploaded content, and data. We claim no ownership over your content. By uploading content to the Service, you grant us a limited, non-exclusive license to process such content solely to provide the Service to you.

We do not retain any rights to your uploaded content beyond what is necessary to provide and improve the Service. Upon termination of your account, your content will be handled in accordance with Section 11.

6. Payment Terms

The Service is offered through a freemium model. A free tier is available at no cost. Paid plans provide additional features and usage limits and are billed on a monthly or annual basis through our payment processor, Stripe.

By selecting a paid plan, you authorize us to charge the applicable fees to your chosen payment method at the beginning of each billing cycle. All fees are stated in U.S. dollars and are non-refundable except as expressly stated in these Terms.

You may cancel your paid plan at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for any partial billing periods or unused portions of the Service.

We reserve the right to change our pricing at any time. We will provide at least 30 days' advance notice of any price increases. Price changes will take effect at the start of your next billing cycle after the notice period.

7. Data Processing

We process your compliance documents and data solely to provide the Service to you. This includes performing compliance analysis, generating recommendations, and delivering the features available to you through your plan.

We do not use your document content or compliance data to train, improve, or develop artificial intelligence models, machine learning algorithms, or any other automated systems that are not directly related to providing the Service to you.

We may use aggregated and anonymized usage data to improve the overall quality and performance of the Service. Such data will not contain any information that could reasonably identify you or your organization.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected.

The compliance analysis, recommendations, and outputs generated by the Service are provided for informational purposes only. Nothing in the Service constitutes legal advice. We do not guarantee that any compliance analysis, recommendation, or output constitutes or will constitute legal compliance with any specific regulation or framework. You are solely responsible for evaluating the sufficiency and accuracy of any compliance analysis or recommendation provided through the Service.

You should consult with a qualified attorney or compliance professional before making any legal or compliance decisions based on information obtained through the Service. We are not a law firm and do not provide legal services or legal advice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Alternivite, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from or related to your use of or inability to use the Service.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to Alternivite during the twelve (12) months immediately preceding the event giving rise to the claim.

This limitation of liability applies regardless of the legal theory on which the claim is based, including contract, tort, strict liability, or any other basis, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Alternivite and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any content you upload, submit, or make available through the Service.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

11. Termination

Either party may terminate these Terms at any time. You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination for any reason, your right to use the Service ceases immediately. We will delete your account data, including all compliance documents and uploaded content, within thirty (30) days of termination.

We will not be liable to you or any third party for any termination of your access to the Service. Any outstanding fees owed to Alternivite at the time of termination shall remain payable by you.

The following sections shall survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Wilmington, Delaware, for the resolution of any dispute arising out of or relating to these Terms or the Service.

If you are located outside the United States, you are responsible for compliance with any applicable local laws regarding use of the Service.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes to these Terms, we will provide at least thirty (30) days' advance notice before the changes take effect. We will notify you by posting the updated Terms on our website and, where appropriate, by sending you an email notification.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
